Terms of Service
Last updated: May 15, 2026
1. Agreement
By accessing or using the KaixinCap B2B platform (“Platform”) or placing an order, you (“Buyer”) agree to be bound by these Terms of Service (“Terms”). If you are entering into these Terms on behalf of a company, you represent that you have authority to bind that company.
These Terms govern all wholesale transactions between the Buyer and KaixinCap (“Supplier”), a cap manufacturer headquartered in Guangdong, China.
2. Eligibility & Account
The Platform is intended for business buyers only. You must be at least 18 years old and acting in a commercial capacity to place orders. Consumer purchases are not accepted.
You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. Notify us immediately at info@kaixincap.com if you suspect unauthorised access.
3. Quotes & Order Confirmation
All prices displayed on the Platform are indicative. A binding contract is formed only when the Buyer receives and accepts a written quote from KaixinCap via the Platform. Quote acceptance constitutes a binding purchase order.
KaixinCap reserves the right to withdraw or revise quotes before acceptance. Quotes are valid for 14 calendar days from issue unless otherwise stated.
4. Minimum Order Quantity (MOQ)
The standard MOQ is 10 pieces per style per colorway. Lower MOQ may be available for repeat buyers at our discretion. Specific MOQ requirements are confirmed in each quote.
5. Customisation & Artwork
The Buyer is solely responsible for ensuring that all submitted artwork, logos, and branding do not infringe any third-party intellectual property rights. By submitting artwork, the Buyer grants KaixinCap a non-exclusive licence to reproduce it solely for the purpose of fulfilling the order.
KaixinCap will produce a physical sample for Buyer approval before full production commences. Production begins only after written sample sign-off. Minor colour variations inherent to manufacturing processes are not grounds for rejection.
6. Payment Terms
Standard payment terms are 50% deposit upon order confirmation and 50% balance before shipment, unless alternative terms are agreed in writing. Accepted payment methods are confirmed in each quote.
All prices are in USD unless otherwise stated and are exclusive of shipping, customs duties, and applicable taxes, which are the Buyer's responsibility.
KaixinCap reserves the right to suspend production if payment is not received by the due date stated in the payment request.
7. Production Lead Times
Standard production lead time is 25–35 business days from sample approval and receipt of deposit. Lead times are estimates; KaixinCap will notify the Buyer of any significant delays. KaixinCap is not liable for delays caused by force majeure events, including but not limited to natural disasters, pandemics, or port congestion.
8. Shipping & Risk
Unless otherwise agreed, goods are shipped EXW (Ex Works, Guangdong). Risk of loss passes to the Buyer when goods are handed to the carrier. KaixinCap can arrange freight (sea or air) at the Buyer's cost and risk upon request.
DDP (Delivered Duty Paid) options are available for select destinations. Applicable import duties, taxes, and brokerage fees under DDP terms are included in the quoted DDP price.
9. Inspection & Acceptance
The Buyer must inspect goods within 7 days of delivery and notify KaixinCap in writing of any defects or shortages. Claims made after this period will not be accepted. Photographic evidence is required for all quality claims.
KaixinCap's liability for defective goods is limited to replacement of defective units or a credit note. We do not accept returns of goods that conform to the approved sample.
10. Intellectual Property
All content on the Platform — including product photography, design files, and copy — is the intellectual property of KaixinCap or its licensors and may not be reproduced without written consent.
Custom products manufactured for the Buyer are the Buyer's IP once full payment has been received. KaixinCap retains the right to display non-branded work in its portfolio unless the Buyer requests confidentiality in writing.
11. Limitation of Liability
To the maximum extent permitted by law, KaixinCap's total liability for any claim arising under these Terms shall not exceed the value of the order giving rise to the claim. KaixinCap is not liable for indirect, consequential, or loss-of-profit damages.
12. Governing Law
These Terms are governed by the laws of the People's Republic of China. Any dispute that cannot be resolved amicably shall be submitted to the jurisdiction of the courts of Guangzhou, Guangdong Province, or, at KaixinCap's election, to arbitration under the rules of the China International Economic and Trade Arbitration Commission (CIETAC).
13. Changes to These Terms
We may update these Terms from time to time. Continued use of the Platform after publication of revised Terms constitutes acceptance. Material changes will be communicated by email to registered buyers.
